1. Definitions

In these Terms and Conditions:

“Company”, “Carrier”, “We”, “Us”, “Our” means NN FREIGHT LTD.

“Customer” means any individual, business, company or organisation placing an order or booking services with the Company.

“Goods” means any cargo, parcel, pallet, shipment, container or item accepted for transport, storage or handling.

“Services” means any logistics, transport, courier, freight forwarding, warehousing or related services supplied by the Company.

“Consignee” means the recipient of the Goods.

“Dangerous Goods” means any goods classified as hazardous, ADR regulated, dangerous, toxic, explosive, flammable or otherwise requiring special handling under UK or international law.

“Force Majeure Event” means any circumstance beyond reasonable control including but not limited to weather, strikes, accidents, road closures, customs delays, ferry cancellations, acts of government, cyber incidents, war, terrorism, pandemics or mechanical breakdowns.

2. Application of Terms

2.1 These Terms apply to all services provided by NN FREIGHT LTD unless otherwise agreed in writing.

2.2 By booking services with the Company, the Customer agrees to these Terms and Conditions in full.

2.3 All transport and haulage services are additionally subject to the current Road Haulage Association (RHA) Conditions of Carriage where applicable.

2.4 In the event of conflict between these Terms and the RHA Conditions, these Terms shall prevail unless otherwise stated.

3. Services Provided

The Company may provide:

  • Same Day Courier Services
  • Next Day Delivery
  • Pallet Distribution
  • Freight Forwarding
  • Container Transport
  • Airport Cargo Handling
  • European Transport
  • Warehousing & Storage
  • White Glove & Installation Services
  • Refrigerated Transport
  • ADR / Dangerous Goods Transport
  • Event Logistics
  • Medical & Hospital Deliveries
  • Customs Clearance Support
  • Ecommerce & Fulfilment Services
  • Vehicle Transport
  • Other related logistics services

4. Bookings and Quotations

4.1 Quotations are based on information provided by the Customer.

4.2 Any quotation may be revised if:

  • shipment details are inaccurate,
  • weights or dimensions differ,
  • waiting time occurs,
  • additional services are required,
  • customs or port charges arise,
  • dangerous goods are undeclared,
  • access restrictions exist.

4.3 Website pricing, online quotations and automated prices are subject to verification and availability.

4.4 The Company reserves the right to cancel or amend bookings resulting from pricing errors, technical issues or operational limitations.

4.5 The Customer is responsible for ensuring all shipment details are accurate.

5. Payment Terms

5.1 Payment terms shall be:

  • Immediate payment for guest or non-account customers unless agreed otherwise.
  • Approved account customers may receive credit terms up to 30 days end of month.

5.2 Late payments shall incur:

  • statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998;
  • statutory compensation fees;
  • recovery costs and legal fees.

5.3 The Company reserves the right to:

  • suspend services,
  • refuse future bookings,
  • withhold release of goods,
  • commence debt recovery proceedings,

for overdue accounts.

5.4 All charges are exclusive of VAT unless stated otherwise.

6. Waiting Time and Extra Charges

6.1 Vans:

  • First 30 minutes waiting time at collection and delivery included.
  • Thereafter charged at £30 per hour or part thereof.

6.2 HGVs:

  • First 1 hour waiting time at collection and delivery included.
  • Thereafter charged at £50 per hour or part thereof.

6.3 Additional charges may apply for:

  • failed collections,
  • failed deliveries,
  • redelivery attempts,
  • port waiting,
  • customs delays,
  • storage,
  • demurrage,
  • tail-lift requirements,
  • out of hours deliveries,
  • specialist equipment,
  • manual handling.

6.4 Storage charges shall apply as separately agreed or at prevailing commercial rates.

7. Customer Obligations

The Customer warrants that:

7.1 Goods are properly packed, labelled and secured for transport.

7.2 Shipment information, weights and dimensions are accurate.

7.3 Any special handling requirements are disclosed before booking.

7.4 Adequate loading and unloading facilities are available unless otherwise agreed.

7.5 The Goods comply with all UK and international laws and regulations.

7.6 The Customer shall indemnify the Company against losses arising from inaccurate declarations or unsafe goods.

8. Dangerous Goods (ADR)

8.1 Dangerous Goods are accepted only by prior written approval.

8.2 All Dangerous Goods and non-hazardous regulated materials must be declared at quotation stage.

8.3 The Customer must provide:

  • correct UN numbers,
  • safety documentation,
  • packaging compliance,
  • transport classifications,
  • emergency information.

8.4 The Company reserves the right to refuse or dispose of undeclared Dangerous Goods.

8.5 The Customer shall indemnify the Company against all liabilities, penalties, damages or losses arising from undeclared or improperly declared Dangerous Goods.

9. Prohibited Goods

Unless agreed in writing, the Company does not transport:

  • cash,
  • precious metals,
  • jewellery,
  • firearms,
  • explosives,
  • illegal goods,
  • narcotics,
  • live animals,
  • human remains,
  • counterfeit goods,
  • hazardous waste,
  • temperature-sensitive goods without written agreement,
  • prohibited or sanctioned goods.

10. Refrigerated and Temperature-Controlled Transport

10.1 The Customer must provide written temperature instructions before transport.

10.2 The Customer is responsible for suitable packaging and preparation of temperature-sensitive goods.

10.3 The Company shall not be liable for:

  • inherent spoilage,
  • poor packaging,
  • loading delays,
  • incorrect instructions,
  • manufacturer defects,
  • force majeure events.

11. Collection and Delivery

11.1 Delivery times are estimates only and are not guaranteed unless expressly agreed in writing.

11.2 The Company may subcontract services to third-party carriers, owner drivers or logistics partners.

11.3 Signature, photograph, GPS data, OTP verification, electronic scan or digital confirmation shall constitute valid proof of delivery.

11.4 Drivers may refuse collection or delivery where:

  • access is unsafe,
  • loading is dangerous,
  • goods are improperly packed,
  • abusive behaviour occurs,
  • illegal activity is suspected,
  • weight limits are exceeded.

12. Liability

12.1 The Company’s liability shall be limited to the lower of:

  • £1,300 per tonne,
  • the actual value of the Goods,
  • the applicable insurance settlement limit.

12.2 The Company shall not be liable for:

  • loss of profit,
  • loss of business,
  • loss of contracts,
  • indirect loss,
  • consequential loss,
  • delays outside reasonable control,
  • customs delays,
  • port congestion,
  • road closures,
  • weather disruption,
  • cyber incidents,
  • force majeure events.

12.3 The Company shall not be liable for:

  • inadequate packaging,
  • incorrect labelling,
  • customer negligence,
  • undeclared Dangerous Goods,
  • inherent defects in goods,
  • perishable deterioration.

12.4 Claims exceeding insurer limitations or policy exclusions shall not be recoverable from the Company.

13. Insurance

13.1 Goods in Transit Insurance is maintained subject to policy terms, conditions and exclusions.

13.2 Insurance cover does not constitute guaranteed compensation for all losses.

13.3 Customers requiring enhanced insurance must request such cover in writing before transport commences.

13.4 Unattended vehicle conditions and insurer security requirements apply.

14. Claims Procedure

14.1 Visible damage or shortage must be reported immediately upon delivery.

14.2 Concealed damage or shortages must be notified in writing within 12 hours of delivery.

14.3 Non-delivery claims must be submitted within 7 days of the scheduled delivery date.

14.4 All claims must include:

  • shipment reference,
  • photographs,
  • proof of value,
  • delivery documentation,
  • full loss details.

14.5 Failure to comply with this clause may invalidate claims.

15. Storage and Uncollected Goods

15.1 The Company may charge storage fees for uncollected or delayed shipments.

15.2 The Company reserves the right to dispose of or sell unclaimed goods after reasonable notice where lawful.

15.3 Outstanding charges may be deducted from sale proceeds.

16. Lien

16.1 The Company shall have a general and particular lien over all Goods for unpaid charges, storage fees or liabilities owed by the Customer.

16.2 The Company may retain or dispose of Goods until outstanding amounts are settled.

17. Force Majeure

The Company shall not be liable for failure or delay caused by events beyond reasonable control including but not limited to:

  • weather conditions,
  • road traffic,
  • accidents,
  • industrial action,
  • customs delays,
  • ferry cancellations,
  • border disruption,
  • cyber incidents,
  • governmental restrictions,
  • war,
  • terrorism,
  • pandemics.

18. Data Protection

18.1 The Company processes personal data in accordance with UK GDPR and the Data Protection Act 2018.

18.2 Customer data may be used for:

  • operational delivery purposes,
  • compliance,
  • invoicing,
  • security,
  • claims handling,
  • customer communication.

19. Governing Law and Jurisdiction

19.1 These Terms and Conditions shall be governed by the laws of England and Wales.

19.2 Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.

20. Acceptance of Terms

By placing an order, booking transport, using the website or instructing the Company to provide services, the Customer confirms acceptance of these Terms and Conditions.
